Use of The RiskComp Managed Service

The RiskComp Managed Service, its software and accompanying documentation that is made available from any web site managed by RiskComp Ltd. is the copyrighted work of RiskComp Ltd. Use of the RiskComp Managed Service is governed by the terms of this agreement, or the licence agreement that accompanies any software provided by RiskComp Ltd. You will not be able to register for use of or gain access to the RiskComp Managed Service (with or without charge) unless you agree to the terms of this agreement.

 You agree that the free trial of the RiskComp Managed Service will only be used for evaluation purposes, and will not be used to perform a ‘real’ or ‘live’ assessment. Upon completion of your free trial, RiskComp Ltd. reserves the right, without notification to yourself, to remove from the system all details of the surveys/assessments carried out as part of your free trial.


RiskComp Managed Service - Service Levels

Although the RiskComp Managed Service is a fully managed service and its availability is monitored 24 hours per day, 365 days per year, RiskComp Ltd. provides no guarantee to Trial users that the system will be or remain available during the period of their trial.

1. The RiskComp Managed Service will not be used for any illegal, immoral, or unethical purposes.
2. Unless by prior agreement with RiskComp Ltd., the customer will not use the Service to provide a Consultancy service to a third party.
3. Agreement to these Terms and Conditions.
4. The customer will make no attempt to bypass the security controls built into the Service.

On discovery of a breach of these terms a Customer's Membership will be subject to immediate suspension.

The RiskComp site may provide links to third-party web sites, which are not under the control of RiskComp Ltd. RiskComp makes no representations about third-party web sites. When you access a third party web site, you do so at your own risk. RiskComp is not responsible for the reliability of any data, opinions, advice, or statements made on third-party sites. RiskComp provides these links merely as a convenience. The inclusion of such links does not imply that RiskComp endorses, recommends, or accepts any responsibility for the content of such sites.
 

Confidential Information and Privacy

To learn about how RiskComp protects your personal information, such as your name and address, refer to our Privacy Policy. Title

RiskComp shall retain full ownership of and title to all goods and services delivered to the customer or any part thereof unless and until the customer has paid all sums owing to RiskComp. RiskComp Ltd. transfers no title to or ownership in goods comprising software to the customer or any third party.
 

Limited Warranty

RiskComp Ltd. warrants that it has the right to license you to use the software and services it provides. RiskComp makes no warranty, representation, or promise not expressly set forth in this limited warranty and disclaims and excludes any and all implied warranties of merchantability and fitness for purpose. RiskComp does not warrant that the Managed Service software will meet your requirements or that it is free from defects or errors, or that the operation of the software will be uninterrupted. No warranty is given in respect of demonstration software, or the free trial service.
 

Term

This agreement is effective from the date of registration of the Free Trial and will remain in force until terminated by you being de-registered from the service or breach of any of the terms contained in this agreement whereupon termination shall be immediate. Upon breach of any of the terms contained in this agreement you will immediately inform RiskComp of the nature and date of the breach. This agreement shall be governed by and interpreted in accordance with the laws of England. Furthermore it is understood that this agreement shall be treated with as though it were executed in England, and any action relating to this agreement shall be instituted and prosecuted in the English courts.
 

Limitation of Liability

RiskComp Ltd. shall not be liable for any direct, speculative, consequential or incidental losses or any special damages hereunder including damages due to lost profits, loss of use or anticipated loss of use, or the inability to use the software or service however arising. In no event shall the liability for damages exceed the amount paid for the software or service.

Use of The RiskComp Managed Service

The RiskComp Managed Service, its software and accompanying documentation that is made available from any web site managed by RiskComp Ltd. is the copyrighted work of RiskComp Ltd. RiskComp Managed Service - Service Levels

The RiskComp Managed Service is hosted on a dedicated IBM Lotus Domino server. This server is monitored 24 hours per day, 365 days per year, with a guaranteed incident response time of under 4 hours.

System and Service support is available 08.00 to 18.00 GMT Monday to Friday. RiskComp will ensure that all Customer incidents are responded to within 4 hours of receiving them, and an agreed resolution plan subsequently followed. RiskComp reserve the right to apply maintenance when it is required, with a restart of the server performed if necessary. Wherever possible, we will endeavour to do this at the quietest time possible, for the minimum disruption to our Customers.

Membership Fees

Due to the nature of the RiskComp Managed Service, there is the possibility of exploitation by the customer, i.e. use of the service without actually paying for it. Membership fees, therefore, will be payable as follows:

• Basic Membership - payment in Advance of commencement of Membership.
• Bronze Membership - payment in full within 7 days of commencement of Membership.
• Silver Membership - payment of 50% of Membership fee within 7 days of commencement of Membership, with the balance payable on 30 day terms.
• Gold and Platinum Membership - payment of 10% of Membership fee within 7 days of commencement of Membership, with the balance payable on 30 day terms.

In the event of a customer failing to meet these payment deadlines, RiskComp Ltd. reserves the right to suspend the customer's Membership and access to the RiskComp Managed Service until such time as payment is received. RiskComp Ltd. also reserves the right to use its discretion in the application of its Membership Fees policy.

Orders

1. There shall be no binding agreement between the customer and RiskComp Ltd. until the customer's order has been accepted by RiskComp Ltd.
2. All orders are accepted subject to the availability of goods and services and to these conditions. No terms or conditions put forward by the customer shall be binding on RiskComp Ltd.
3. The customer accepts that these conditions and any specific details stated on its accepted order constitute the entire understanding between parties and supersede any prior promise, representation, undertaking or understanding of any kind.

Prices

1. Unless otherwise expressly agreed in writing goods and services shall be sold and invoiced at RiskComp's current prices at the date of despatch. Catalogues, web site, price lists and other advertising material are provided for illustrative purposes only.
2. Unless otherwise agreed in writing prices do not include taxes (if any) which shall be invoiced to and payable by the customer.
3. Any typographical clerical or other error or omission in any sales literature, quotation, price list, acceptance of offer, invoice or document or information produced by RiskComp Ltd. shall be subject to correction without any liability on the part of RiskComp Ltd.

Delivery

All tangible software purchases will be provided within 7 days from the date of purchase. Access to the RiskComp Managed Service will be made available within 48 hours of the agreed membership purchase (excluding weekends). The customer shall note any claim for faulty media or an innaccessible service within 7 days from the date of purchase. All Goods and services are deemed delivered and completed if such notice is not received within such period.

Title

RiskComp shall retain full ownership of and title to all goods and services delivered to the customer or any part thereof unless and until the customer has paid all sums owing to RiskComp. RiskComp Ltd. transfers no title to or ownership in goods comprising software to the customer or any third party.
 

Refunds and Returns

All tangible goods shall be deemed accepted unless rejected by notice in writing to RiskComp Ltd. within 7 days of purchase. Any such notice shall give detailed reasons for such rejection. Refunds will be given at the discretion of RiskComp Ltd.
The RiskComp Managed Service is provided as a service and not a tangible product. RiskComp Ltd. provides access to a free of charge trial for the Customer to access a fully functional trial of the facilities that RiskComp provides. Detailed documentation about all of the Expertise areas that can be used within the RiskComp Managed Service is made available to the Customer prior to placing an order. On this basis, no refunds will be given, for whatever reason, to customers of the RiskComp Managed Service.

Limited Warranty

RiskComp Ltd. warrants that it has the right to license you to use the software and services it provides. RiskComp warrants that tangible software products will perform substantially in accordance with the accompanying specification for a period of 90 days from the date of receipt. RiskComp warrants that if the software fails to substantially conform to the accompanying specification and if the non-conformity is reported to RiskComp within the 90 day period, then the entire liability of RiskComp Ltd. and your exclusive remedy shall be the replacement of software. RiskComp makes no warranty, representation, or promise not expressly set forth in this limited warranty and disclaims and excludes any and all implied warranties of merchantability and fitness for purpose. RiskComp does not warrant that the Managed Service software will meet your requirements or that it is free from defects or errors, or that the operation of the software will be uninterrupted.
